1. The Pre-Registration Pipeline

Before you ever step foot into the Companies Office of Jamaica (COJ) or log onto their portal, two non-negotiable steps must be completed.

The TRN Prerequisite

You absolutely must secure a Taxpayer Registration Number (TRN) from Tax Administration Jamaica (TAJ). If you are a young freelancer who doesn't have one yet, this process typically takes 1 to 2 business days and is the foundational requirement for all subsequent legal and financial processes.

Name Search & Reservation

Utilize the COJ’s online portal (orcjamaica.com) to search for your proposed AI agency name. The name search incurs a fee of JMD 500, while formal reservation costs JMD 3,000. This total JMD 3,500 locks down your name for 90 days.

2. Structuring Your Entity: The Divergence

Digital creators face a distinct choice in corporate structure. Your decision heavily impacts your initial capital outlay, the complexity of your annual taxes, and most importantly: your personal liability.

Sole Trader

Registration of Business Names Act

The Form: BRF 1 "Super Form"

Base Cost: JMD 2,500

Turnaround: ~2 Days (Expedite to Next-Day for +JMD 3,000 or Same-Day for +JMD 6,000).

The Catch: Unlimited personal liability. If your AI firm is sued for a data breach, your personal assets (car, house, savings) are entirely at risk.

Limited Company

The Companies Act

The Form: Articles of Incorporation (Form 1A)

Base Cost: JMD 27,500 (JMD 27,000 base + JMD 500 stamp duty).

Turnaround: 3-5 Business Days.

The Advantage: True corporate liability shield. Absolutely necessary if you intend to build SaaS platforms, manage enterprise-level B2B client data, or seek venture capital.

3. The Hidden Cost of Maintenance (Sole Traders)

A major trap for young digital freelancers is assuming that a Sole Trader registration lasts forever. Unlike an incorporated company, a business name registered under the BRF 1 Super Form requires proactive bureaucratic maintenance.
